Data Use Policy

1. Scope

This Data Use Policy (the "Policy") is between uPayments LLC, operating under the product name FinMI (collectively "FinMI," "Company," "us," "we," "our"), and you. It governs your access to and use of data, content, code, models, metrics, embeds, designs, source code, software, photos, images, and other materials made available to you in any form through the Services (collectively, the "FinMI Data"), including data you receive through the dashboard, CSV/PDF exports, public APIs, SDKs, embeddable widgets, and webhook deliveries.

FinMI Data does not include the underlying transaction data, customer records, and merchant configuration that you contribute to the Services — that data is governed by your Terms of Service and Privacy Policy, and you retain ownership of it.

By accessing FinMI Data, you accept this Policy. If you do not agree, FinMI does not grant you a license to use FinMI Data.

2. License Grant

FinMI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use FinMI Data solely (a) to operate your business using the Services and (b) for any other lawful use that does not compete with products or services offered by FinMI, uPayments LLC, or their affiliates. The license continues only while FinMI makes the FinMI Data available to you and terminates immediately on any violation of this Policy or our Terms of Service.

3. Compliance With Law

You agree to use FinMI Data only for lawful purposes. You are prohibited from any use that would violate applicable federal, state, or local law, including without limitation card-network rules, payment-card industry standards (PCI), federal and state consumer-privacy laws (including the CCPA, GDPR, and similar regimes), the Federal Trade Commission Act, anti-money-laundering laws, sanctions laws, the Telephone Consumer Protection Act (TCPA), the Fair Credit Reporting Act (FCRA) where applicable, and unfair-and-deceptive-trade-practices statutes.

4. General Restrictions

You agree not to:

  • Modify, fabricate, or misrepresent FinMI Data, including by altering numerical outputs, KPIs, or AI-generated content in a way that misleads a third party about its source;
  • Use FinMI Data to reveal, disclose, or display non-public personally-identifiable information of any user, end customer, or merchant of the Services other than in your own ordinary course of business;
  • Use FinMI Data to defame, libel, harass, threaten, or stalk any user or end customer of the Services;
  • Resell, redistribute, sublicense, or republish FinMI Data, in whole or in part, to any third party without our prior written consent;
  • Use FinMI Data, the Services, or any output of the Services to develop, train, or improve a product or service that competes with FinMI or uPayments LLC;
  • Use any automated method (scraper, bot, or unauthorized API client) to extract FinMI Data at scale or attempt to circumvent documented rate limits, authentication, or access controls;
  • Use FinMI Data to enrich a third-party data set for resale, marketing-list generation, or list-broker activity;
  • Reverse-engineer, decompile, or disassemble any software, model, or component made available through the Services.

5. Proprietary Rights

FinMI retains all right, title, and interest, including without limitation all intellectual-property rights, in and to FinMI Data, the Services, and any derived analytics, models, or aggregated benchmarks we produce. Any unauthorized use of FinMI Data may violate copyright, trademark, trade-secret, and other intellectual-property laws.

6. Trademarks

The names "FinMI" and "uPayments" (alone or with logos), the FinMI and uPayments logos, finmi.io, app.finmi.io, and all related marks (collectively the "Marks") are trademarks or service marks of uPayments LLC. Nothing in the Services or this Policy should be construed as granting, by implication, estoppel, or otherwise, any license or right to use the Marks without our prior written permission in each instance.

7. Attribution

If you incorporate FinMI Data into a website, application, embed, or any artifact made available to third parties (whether for free or for compensation) and that artifact references FinMI by name or logo, the artifact must display, in 8-point type or larger, the following statement: "Not endorsed by, owned by, or affiliated with uPayments LLC or FinMI."

8. Fees

Access to FinMI Data through the Services is included with your subscription. We reserve the right to introduce additional fees, usage caps, or per-record charges in the future for high-volume API use, bulk exports, or data-licensing arrangements, with reasonable advance notice.

9. Disclaimer of Warranties

Your use of FinMI Data is at your sole risk. FinMI does not warrant the accuracy, adequacy, timeliness, reliability, completeness, or usefulness of any FinMI Data and disclaims liability for errors or omissions in it. FinMI Data is provided on an "as-is" and "as-available" basis without any warranty, express or implied. See our Disclaimer for more.

10. Indemnification

You agree to defend, indemnify, and hold harmless uPayments LLC and its affiliates, officers, managers, directors, employees, contractors, and subcontractors from and against any claims, demands, causes of action, judgments, regulatory-agency costs, court costs, and reasonable attorneys' fees arising out of or related to your use of FinMI Data, including any misrepresentation, unauthorized redistribution, or violation of this Policy.

11. Limitation of Liability

The limitation-of-liability provisions in our Terms of Service apply to this Policy and are incorporated here by reference.

12. Termination and Effect

FinMI may revoke or suspend your access to FinMI Data at any time for any breach of this Policy or our Terms of Service, for suspected fraud or abuse, or as required by law. On revocation, you must promptly cease all use and, where practicable, destroy or return any FinMI Data in your possession. Sections 5–7, 9–11, and 13 survive termination.

13. General Provisions

This Policy is binding on, inures to the benefit of, and is enforceable against the parties and their respective successors and assignees. Neither course of dealing nor trade practice modifies any provision of this Policy. If any provision is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. All rights not expressly granted are reserved.
