1. Scope

This Disclaimer is between uPayments LLC, operating under the product name FinMI (collectively "FinMI," "Company," "us," "we," "our"), and users of our website, dashboard, APIs, and related services (collectively, the "Services"). It is incorporated by reference into our Terms of Service. By using the Services you accept the terms of this Disclaimer.

2. No Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, FinMI expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

FinMI does not warrant that the Services will meet your needs, that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that any data, content, or output produced by the Services will be accurate, timely, complete, or reliable. Your use of the Services is at your sole risk.

3. Not Financial, Legal, Tax, or Accounting Advice

FinMI is a software platform. Information made available through the Services — including reports, dashboards, analytics, AI-generated dispute responses, fraud signals, and any guidance — is for informational purposes only and does not constitute legal advice, financial advice, tax advice, accounting advice, investment advice, or a recommendation of any kind. No fiduciary, attorney-client, or similar relationship is created between you and FinMI by your use of the Services. Consult a qualified attorney, accountant, or other licensed professional before relying on any output of the Services for a regulated decision.

4. Not a Bank, Money Transmitter, or Payment Processor

FinMI is not a bank, money transmitter, payment processor, or licensed financial institution. Payment authorization, capture, settlement, fund custody, and PCI-scope responsibilities for cardholder data sit with your connected payment gateway (NMI), your acquiring bank, and the card networks under your separate agreements with them. FinMI does not hold or move customer funds.

5. AI-Generated Content (DisputeProof and Other Features)

Some Services use machine-learning models to generate suggested content (for example, draft chargeback rebuttal letters in the DisputeProof feature). AI-generated content may be inaccurate, incomplete, or unsuitable for your specific case. You are solely responsible for reviewing, editing, and approving any AI-generated content before submitting it to a card network, regulator, customer, or counterparty. FinMI is not responsible for the outcome of any dispute, customer interaction, or business decision made using AI-generated content.

6. Third-Party Services and Links

The Services connect to or link to services controlled by third parties, including your gateway, CRMs, accounting tools, analytics providers, and outbound web links. We have no control over, and no responsibility for, the availability, accuracy, content, advertising, products, or services offered by those third parties. Links to or integrations with third-party services do not constitute an endorsement; you access them at your own risk.

7. Beta Features

Features designated as beta, alpha, preview, or early access are pre-release and provided strictly "as is." They may change, become unavailable, or be removed without notice and are excluded from any service-level commitment. Do not rely on beta features for production-critical workflows.

8. Estimates, Forecasts, and Benchmarks

Any forward-looking estimate, forecast, projection, or benchmark generated by the Services (including revenue forecasts, churn predictions, fraud-risk scores, and decline-recovery projections) is an informational estimate based on historical data and modeling assumptions. Past performance does not guarantee future results. FinMI does not warrant the accuracy of any such estimate.

9. Limitation of Liability

The limitation-of-liability provisions in our Terms of Service apply to this Disclaimer and are incorporated here by reference.
